Exceptions and conditions

Taken from the wording of this provision — the carve-outs and conditions worth reading closely.

What this means in practice

Practical effect
The PM validity and first-close clock is unforgiving — extensions cost fees and, if missed, the scheme can be wound up.
Compliance actions
Applies to
Restricted scheme
Frequency
Per scheme; event-driven for extension
Evidence
PM filing record; Extension application and fee payment evidence
Common mistake
Not tracking the validity window and discovering the lapse only at first close.
5

What changed in 2026

If an FME fails to reach the Reg 35(2) minimum corpus size within the specified timeline, it may extend the placement memorandum's validity in six-month increments (applied for while the PM is still valid), subject to a fee: 25% of the fresh-scheme filing fee for the first extension, 50% for each subsequent extension.

Practical effect
Introduces a structured, fee-linked PM-validity extension mechanism for VC schemes that haven't reached minimum corpus in time, replacing the prior extension proviso.
What to do
Track PM validity expiry dates against the Reg 35(2) minimum-corpus milestone; budget for the escalating extension fee (25% then 50% of fresh-filing fee) and file extension applications before expiry.
