What changed in 2026
A Venture Capital scheme may make follow-on investments in an investee company more than 10 years after its incorporation in subsequent funding rounds, subject to three conditions: (i) consistency with the scheme's investment objectives/strategy, PM and internal FME policies; (ii) an investor excluded from a company (by choice or FME decision) cannot participate in later rounds for that company; and (iii) the scheme's post-issue beneficial interest (fully diluted) in that company cannot exceed its pre-issue beneficial interest.
Practical effect
Loosens the 10-year investee-company age restriction for VC schemes doing follow-on rounds, but adds anti-dilution-style safeguards and an investor-exclusion consistency rule.
What to do
Build a follow-on investment checklist referencing the three conditions before approving any post-10-year round; track pre-issue vs post-issue beneficial interest per investee company.
FME must ensure any differential distribution rights created via senior and junior/subordinate units in a Venture Capital scheme follow the framework to be specified by the Authority. Definitions of "senior units" and "junior/subordinate units" (including mezzanine units) inserted.
Practical effect
VC schemes issuing tiered/waterfall unit classes must await and then comply with an IFSCA-specified framework — this is a framework-dependent obligation not yet fully operable until that framework is issued.
What to do
Flag any VC scheme with senior/junior unit structuring for a compliance hold pending the Authority's framework; do not treat this as self-certifying until the framework is published.
