Regulation 2 is the dictionary for the whole rulebook, so read every other provision against it. Some terms do a lot of work. The corpus is the total amount investors have committed in writing. Investable funds are the corpus net of the estimated administration and management expenses for the fund's tenure, and they are the base for limits such as borrowing. The sponsor sets up the AIF, and the manager is appointed to manage its investments; the two can be the same. An accredited investor is a person holding an accreditation certificate (for an individual, for example, annual income of at least ₹2 crore or net worth of at least ₹7.5 crore, with further conditions). An associate is an entity in which the fund's or manager's directors, trustees, partners, sponsor or manager together hold more than fifteen per cent.

What the Master Circular adds

From SEBI's Master Circular for AIFs (updated 16 June 2026). The Regulation sets the rule; the Master Circular sets how it works in practice.

  • MC Ch 10

Accredited investors are certified by an accreditation agency, which grants accreditation only on the basis of the applicant's KYC and financial information. Accreditation agencies that are also KYC registration agencies can use KYC records for this.
