Fund Manager Taxation in GIFT IFSC: Can an FME Pay Zero Tax?

It can, on eligible income. Whether it does depends on the tax regime the company has chosen and whether its income qualifies.

Which tax regime is the company on?

Section 200 option (22%)

Potentially nil tax on eligible IFSC income

  • 100% deduction stays for an IFSC unit (section 200(4))
  • Minimum alternate tax does not apply (section 206(1)(q)(ii))
  • Other income taxed at 22%, plus surcharge and cess
  • Option by the return due date; cannot be withdrawn
  • Available to domestic companies only

Default regime

The deduction applies, but MAT can leave a bill

  • 100% deduction on eligible IFSC income
  • MAT if tax is below 9% of book profit (IFSC unit in convertible foreign exchange)
  • Other income taxed under the default rules
  • The company can opt for section 200 later

Before you decide, check four things

  1. Legal structure. Is the FME a company or an LLP? Section 200 and minimum alternate tax are company rules. An LLP that claims the deduction pays alternate minimum tax: 9% of adjusted total income, with the deduction added back, for an IFSC unit earning solely in convertible foreign exchange. Credit for the excess is allowed in later years.
  2. Income. Is it earned from the unit’s approved IFSC business activities? Only that income qualifies for the deduction.
  3. Deduction period. An IFSC unit can claim the deduction for 20 consecutive tax years out of 25, at its option. Check where your unit is in that period.
  4. Tax election. Has the company validly opted for section 200 by the due date, and is it comfortable that the choice cannot be reversed?

Want to confirm your FME’s tax position?

The outcome depends on the company’s structure, its income, where it is in its deduction period and its tax election.
