Reg 21(d)

Definitions: Definition of "associate" restructured

Substitution · Second Amendment, 2026

Reg 2 1(d) Substitution

Definition of "associate" restructured: replaces the earlier company/LLP/body-corporate-based test with a person-based test (any person, individually or collectively, holding 20% or more of paid-up equity/partnership interest/equivalent economic interest), and carves out a fiduciary appointed under Reg 17(2) from being deemed an "associate" unless that person holds a direct economic interest or control in the FME. "Person" now takes the meaning given in the IFSCA AML/CFT/KYC Guidelines, 2022.

Earlier
"associate" means- (i) a company or a limited liability partnership (LLP) or a body corporate in which a director or trustee or partner of the FME or the FME or any fiduciaries as defined in regulation 17 of these regulations, either individually or collectively, hold twenty per cent. (20%) or more of its paid-up equity share capital or partnership interest, as the case may be; (ii) a company or a limited liability partnership or a body corporate, either individually or collectively, hold twenty per cent. (20%) or more of its paid-up equity share capital or partnership interest, as the case may be in the FME; (iii) Any other company or a limited liability partnership or a body corporate, in which the entity referred in clause (ii) above holds twenty per cent. (20%) or more of its paid-up equity share capital or partnership interest, as the case may be;
Now
"associate" means- (i) a person, in which a director or partner or trustee of the FME or the FME, or any fiduciary appointed under sub-regulation (2) of regulation 17 of these regulations, either individually or collectively, holds twenty per cent. (20%) or more of the paid-up equity share capital or partnership interest or such other equivalent direct economic interest (by whatever name called); (ii) a person, who either individually or collectively, holds twenty per cent. (20%) or more of the paid-up equity share capital or partnership interest or such other equivalent direct economic interest (by whatever name called) in the FME; or (iii) any other person, in which the person referred to in sub-clause (ii) holds twenty per cent. (20%) or more of the paid-up equity share capital or partnership interest or such other equivalent direct economic interest (by whatever name called). Provided that a person appointed as a fiduciary of a scheme under sub-regulation (2) of regulation 17 shall not be deemed an associate of the FME unless such person holds direct economic interest or control in the FME. Explanation - "person" has the meaning assigned under the IFSCA (AML, CFT and KYC) Guidelines, 2022, as amended.
Practical effect
Widens the associate test from entities (company/LLP/body corporate) to any person — meaning individuals can now be caught as "associates", changing the skin-in-the-game contribution base (Reg 28/40/52), related-party transaction identification, and conflict-of-interest tracking under the Third Schedule.
Required action
Re-run the associate/related-party mapping for every scheme using the new person-based 20% test; document the fiduciary carve-out separately for each Reg 17(2) appointee.
Reg 221 (proviso)

Permissible investments: "Certificates of deposit" removed from the illustrative list of permissible short-term instruments in the first proviso to Reg 22(1) (Venture Capital permissible investments).

Omission · Second Amendment, 2026

Reg 22 1 (proviso) Omission

"Certificates of deposit" removed from the illustrative list of permissible short-term instruments in the first proviso to Reg 22(1) (Venture Capital permissible investments).

Practical effect
Certificates of deposit are no longer specifically called out as an example of a permitted liquid instrument under this proviso for VC schemes.
Required action
Review VC scheme placement memoranda that reference certificates of deposit under this proviso and confirm continued permissibility only if covered elsewhere in Reg 22(1).
Reg 221 (new second proviso)

Permissible investments: New second proviso

Insertion · Second Amendment, 2026

Reg 22 1 (new second proviso) Insertion

New second proviso: any money received from contributors before the first close of a VC scheme can only be deployed in Reg 22(1)-permissible investments that preserve capital and maintain adequate liquidity — e.g. bank deposits with premature-withdrawal options, overnight funds — as disclosed by the FME in the placement memorandum.

Now
Provided further that any monies received from the contributors prior to the first close of the scheme shall be deployed only in such permissible investments as per sub-regulation (1) of regulation 22 that support preservation of capital and adequate liquidity of the monies deployed, such as bank deposits with option for premature withdrawal, overnight funds, etc., as disclosed by the FME in the placement memorandum.
Practical effect
Restricts pre-first-close deployment of drawn-down money in VC schemes to capital-preservation/liquid instruments only.
Required action
Update VC scheme placement memoranda and treasury/cash-management policy to disclose the specific pre-first-close permissible investments; ensure fund administrators apply this restriction operationally.
Reg 233 (new proviso)

Restrictions on Investment and Corpus of the Scheme: A Venture Capital scheme may make follow-on investments in an investee company more than 10 years after its incorporation in subsequent funding rounds, subject to three conditions

Insertion · Second Amendment, 2026

Reg 23 3 (new proviso) Insertion

A Venture Capital scheme may make follow-on investments in an investee company more than 10 years after its incorporation in subsequent funding rounds, subject to three conditions: (i) consistency with the scheme's investment objectives/strategy, PM and internal FME policies; (ii) an investor excluded from a company (by choice or FME decision) cannot participate in later rounds for that company; and (iii) the scheme's post-issue beneficial interest (fully diluted) in that company cannot exceed its pre-issue beneficial interest.

Practical effect
Loosens the 10-year investee-company age restriction for VC schemes doing follow-on rounds, but adds anti-dilution-style safeguards and an investor-exclusion consistency rule.
Required action
Build a follow-on investment checklist referencing the three conditions before approving any post-10-year round; track pre-issue vs post-issue beneficial interest per investee company.
Reg 23(new 5)

Restrictions on Investment and Corpus of the Scheme: FME must ensure any differential distribution rights created via senior and junior/subordinate units in a Venture Capital scheme follow the framework to be specified by the Authority

Insertion · Second Amendment, 2026

Reg 23 (new 5) Insertion

FME must ensure any differential distribution rights created via senior and junior/subordinate units in a Venture Capital scheme follow the framework to be specified by the Authority. Definitions of "senior units" and "junior/subordinate units" (including mezzanine units) inserted.

Practical effect
VC schemes issuing tiered/waterfall unit classes must await and then comply with an IFSCA-specified framework — this is a framework-dependent obligation not yet fully operable until that framework is issued.
Required action
Flag any VC scheme with senior/junior unit structuring for a compliance hold pending the Authority's framework; do not treat this as self-certifying until the framework is published.
Reg 242 & 3

Disclosures to investors: NAV disclosure to VC scheme investors

Substitution · Second Amendment, 2026

Reg 24 2 & 3 Substitution

NAV disclosure to VC scheme investors: at least yearly, starting from the FY in which the scheme commences investment activities (excluding Reg 22(1) second-proviso pre-first-close investments), within the PM-disclosed timeline. Portfolio disclosure: at least yearly on the same starting-point basis, within 1 month of each FY end.

Practical effect
Clarifies the disclosure start-trigger (commencement of investment activity, not registration/first close) and carves out pre-first-close liquid investments from the disclosure base.
Required action
Recalibrate VC scheme disclosure calendars to the 'commencement of investment activities' trigger; confirm PM discloses the specific NAV disclosure timeline.
Reg 262

Valuation: Reg 26(2) valuation-norms wording amended to clarify the norms are "for the purpose of computation and disclosure of NAV to the investors and in line with" the specified valuation norms (Sixth Schedule).

Substitution (wording) · Second Amendment, 2026

Reg 26 2 Substitution (wording)

Reg 26(2) valuation-norms wording amended to clarify the norms are "for the purpose of computation and disclosure of NAV to the investors and in line with" the specified valuation norms (Sixth Schedule).

Practical effect
Textual clarification tying valuation norms explicitly to NAV computation/disclosure purpose.
Required action
No substantive process change; update internal SOP references to the amended wording.
Reg 262 (proviso)

Valuation: Valuation-norms exemption widened

Substitution · Second Amendment, 2026

Reg 26 2 (proviso) Substitution

Valuation-norms exemption widened: applies to investments made by a scheme in other scheme(s) regulated by a financial sector regulator (directly or through a manager) in IFSC, India or a foreign jurisdiction, and valued by an independent entity — dropping the earlier narrower conditions.

Practical effect
Broader carve-out from Sixth Schedule valuation norms for fund-of-funds-style cross-investments into regulated, independently-valued schemes.
Required action
Re-assess which underlying scheme investments now qualify for the valuation-norm exemption; document the independent valuation and home regulator status.
Reg 271

Computation of NAV: NAV computation frequency for VC schemes (at least annual) now explicitly starts from the FY in which the scheme commences investment activities, excluding Reg 22(1) second-proviso pre-first-close investments.

Insertion · Second Amendment, 2026

Reg 27 1 Insertion

NAV computation frequency for VC schemes (at least annual) now explicitly starts from the FY in which the scheme commences investment activities, excluding Reg 22(1) second-proviso pre-first-close investments.

Practical effect
Same start-trigger clarification as Reg 24, applied to NAV computation.
Required action
Align NAV computation calendar with the investment-activity-commencement trigger.
Reg 281

Contribution by the FME in the scheme: VC scheme FME/associate contribution restructured to a flat test

Substitution · Critical · Second Amendment, 2026

Reg 28 1 Substitution Critical

VC scheme FME/associate contribution restructured to a flat test: at least 2.5% of the corpus OR USD 750,000, whichever is lower, subject to the contribution not exceeding 10% of the corpus (replacing the earlier two-tier targeted-corpus test based on a USD 30 million threshold). Contribution not mandatory for schemes relocating to IFSC from outside India. The 10% ceiling does not apply if: (i) FME and associate are persons resident outside India with no Indian-resident ultimate beneficial owner and not more than one-third of corpus invested in one investee company and its associates, or (ii) FME/associate are (or have an Indian-resident UBO) and investments are made only in Reg 22(1) permissible investments in IFSC/foreign jurisdictions with contribution not exceeding 25% of corpus.

Earlier
(1) Under a Venture Capital scheme, the FME or its associate shall invest:- (a) at least 2.5% of the targeted corpus and not exceeding 10% of the targeted corpus in a scheme with targeted corpus up to USD 30 Million; (b) at least USD 750,000 and not exceeding 10% of the targeted corpus in a scheme with targeted corpus more than USD 30 Million...
Now
(1) Under a Venture Capital scheme, the FME or its associate shall contribute an amount which shall be at least 2.5% of the corpus or USD 750,000, whichever is lower, subject to such contribution not exceeding 10% of the corpus: Provided that the contribution by the FME or its associate shall not be mandatory in case of relocated schemes established or incorporated or registered outside India to IFSC: Provided further that the ceiling of 10% shall not apply to a Venture Capital scheme if: (i) the FME and its associate investing in the scheme, are persons resident outside India and do not have any person resident in India as their ultimate beneficial owners and not more than one-third of the corpus of the scheme is invested in an Investee Company and its associates, or (ii) the FME and its associate investing in the scheme, are persons resident in India or have any person resident in India as their ultimate beneficial owner, the investments under the scheme are made only in permissible investments, as per sub-regulation (1) of regulation 22, in IFSC or foreign jurisdictions and the said contribution does not exceed 25% of the corpus of the scheme.
Practical effect
Direct change to the mandatory FME skin-in-the-game formula for every Venture Capital scheme — replaces the targeted-corpus/USD-30-million tiering with a simpler corpus-linked minimum, and rewrites the resident/non-resident carve-outs from the 10% ceiling.
Required action
Recompute FME/associate contribution for all live and pipeline VC schemes under the new formula; re-test residency/UBO status against the revised 25%/one-third conditions.
Reg 283

Contribution by the FME in the scheme: Cross-reference "detailed under Chapter II" replaced with "specified under these regulations" (Reg 28(3) — manner of computing FME contribution/withdrawal restriction cross-reference).

Substitution (wording) · Second Amendment, 2026

Reg 28 3 Substitution (wording)

Cross-reference "detailed under Chapter II" replaced with "specified under these regulations" (Reg 28(3) — manner of computing FME contribution/withdrawal restriction cross-reference).

Practical effect
Broadens the cross-reference from Chapter II specifically to the regulations generally; unlikely to be substantive but removes a chapter-specific pointer that no longer matches the current structure.
Required action
Update internal citation trails referencing Chapter II for this purpose.
Reg 284(c)

Contribution by the FME in the scheme: Fund-of-funds exemption from mandatory FME contribution restated

Substitution (wording) · Second Amendment, 2026

Reg 28 4(c) Substitution (wording)

Fund-of-funds exemption from mandatory FME contribution restated: applies where the VC scheme invests in scheme(s) with similar requirements, the IFSC scheme is not actively managed by the FME, and inter-se allocation among underlying schemes is disclosed in the placement memorandum.

Practical effect
Clarificatory restatement of the existing fund-of-funds contribution exemption.
Required action
Confirm placement memoranda for VC fund-of-funds schemes disclose inter-se allocation as worded.
Reg 313 (proviso)

Eligible FMEs and Filing of Placement Memorandum: If an FME fails to reach the Reg 35(2) minimum corpus size within the specified timeline, it may extend the placement memorandum's validity in six-month increments (applied for while the PM is still valid), subject to a fee

Substitution · Second Amendment, 2026

Reg 31 3 (proviso) Substitution

If an FME fails to reach the Reg 35(2) minimum corpus size within the specified timeline, it may extend the placement memorandum's validity in six-month increments (applied for while the PM is still valid), subject to a fee: 25% of the fresh-scheme filing fee for the first extension, 50% for each subsequent extension.

Practical effect
Introduces a structured, fee-linked PM-validity extension mechanism for VC schemes that haven't reached minimum corpus in time, replacing the prior extension proviso.
Required action
Track PM validity expiry dates against the Reg 35(2) minimum-corpus milestone; budget for the escalating extension fee (25% then 50% of fresh-filing fee) and file extension applications before expiry.
Reg 341 (proviso)

Permissible investments: "Certificates of deposit" removed from the permissible short-term instruments proviso for Restricted schemes (mirrors item 3 for VC).

Omission · Second Amendment, 2026

Reg 34 1 (proviso) Omission

"Certificates of deposit" removed from the permissible short-term instruments proviso for Restricted schemes (mirrors item 3 for VC).

Practical effect
Same as VC scheme change — certificates of deposit no longer specifically listed.
Required action
Review Restricted scheme documentation referencing certificates of deposit.
Reg 341 (new proviso)

Permissible investments: Pre-first-close (close-ended) / pre-USD-1-million-raised (open-ended) monies from Restricted scheme contributors must be deployed only in Reg 34(1) permissible, capital-preserving, liquid investments (bank deposits with premature withdrawal, overnight funds, etc.) as disclosed in the placement memorandum.

Insertion · Second Amendment, 2026

Reg 34 1 (new proviso) Insertion

Pre-first-close (close-ended) / pre-USD-1-million-raised (open-ended) monies from Restricted scheme contributors must be deployed only in Reg 34(1) permissible, capital-preserving, liquid investments (bank deposits with premature withdrawal, overnight funds, etc.) as disclosed in the placement memorandum.

Practical effect
Mirrors the VC pre-first-close liquidity restriction (item 4) for Restricted schemes, with an open-ended-scheme trigger of USD 1 million raised.
Required action
Update Restricted scheme PMs and treasury policy for the pre-first-close/pre-USD-1M liquidity restriction.
Reg 35(new 6)

Restrictions on Investment and Corpus of the Scheme: Senior/junior (subordinate) unit differential distribution rights in a Restricted scheme must follow the Authority-specified framework, with the same senior/junior unit definitions as inserted for VC schemes.

Insertion · Second Amendment, 2026

Reg 35 (new 6) Insertion

Senior/junior (subordinate) unit differential distribution rights in a Restricted scheme must follow the Authority-specified framework, with the same senior/junior unit definitions as inserted for VC schemes.

Practical effect
Same framework-dependent obligation as item 6, extended to Restricted schemes.
Required action
Flag any Restricted scheme with tiered unit structuring pending the Authority's framework.
Reg 363 & 4

Disclosures to investors: NAV disclosure to Restricted scheme investors

Substitution · Critical · Second Amendment, 2026

Reg 36 3 & 4 Substitution Critical

NAV disclosure to Restricted scheme investors: at least monthly (open-ended) or half-yearly (close-ended), from the month/half-year the scheme commences investment activities (excluding Reg 34(1) second-proviso investments), within the PM-disclosed timeline. The half-yearly period can be extended to one year with prior approval of at least 75% of investors by value. Portfolio disclosure: at least quarterly from the commencement quarter, within 1 month of each quarter-end.

Practical effect
Introduces the investment-activity-commencement trigger and the 75%-investor-approval route to move close-ended Restricted schemes from half-yearly to annual NAV disclosure — a material flexibility for close-ended funds' investor reporting cadence, conditional on investor consent.
Required action
For close-ended Restricted schemes wanting annual NAV disclosure, obtain and document the 75%-by-value investor approval before relying on the extended period; otherwise maintain half-yearly disclosure.
Reg 382

Valuation: Same wording clarification as item 8, applied to Restricted scheme valuation norms.

Substitution (wording) · Second Amendment, 2026

Same broadened valuation-exemption proviso as item 9, applied to Restricted schemes.

Practical effect
Same as item 9 for Restricted schemes.
Required action

Reg 391

Computation of NAV: NAV computation for Restricted schemes

Substitution · Second Amendment, 2026

Reg 39 1 Substitution

NAV computation for Restricted schemes: at least monthly generally (from the month investment activities commence, excluding Reg 34(1) second-proviso investments); at least half-yearly for close-ended schemes; at least yearly for close-ended schemes where the FME has obtained prior investor approval under the new Reg 36(3) proviso (the 75% consent route).

Practical effect
Ties NAV computation frequency to the same 75%-investor-approval mechanism introduced for disclosure in Reg 36 — computation and disclosure cadence now move together.
Required action
Ensure NAV computation frequency mirrors whatever disclosure cadence (monthly/half-yearly/yearly) has been established and documented for each Restricted scheme.
Reg 401

Contribution by the FME in the scheme: Restricted scheme FME/associate contribution restructured

Substitution · Critical · Second Amendment, 2026

Reg 40 1 Substitution Critical

Restricted scheme FME/associate contribution restructured: close-ended schemes — at least 2.5% of corpus or USD 750,000, whichever is lower; open-ended schemes — at least 5% of corpus or USD 1,500,000, whichever is lower; in both cases capped at 10% of corpus. Not mandatory for schemes relocating to IFSC from outside India. The 10% ceiling doesn't apply under the same resident/non-resident, one-third/25%-of-corpus conditions as the amended Reg 28(1).

Now
(1) Under a restricted scheme, the FME or its associate shall contribute an amount, - (a) In case of a close-ended scheme, at least 2.5% of the corpus or USD 750,000, whichever is lower, subject to such contribution not exceeding 10% of the corpus; (b) In case of an open-ended scheme, at least 5% of the corpus or USD 1,500,000, whichever is lower, subject to such contribution not exceeding 10% of the corpus...
Practical effect
Direct change to the mandatory contribution formula for every Restricted scheme, now differentiated by open-ended vs close-ended structure — mirrors the Reg 28 restructuring for VC schemes.
Required action
Recompute FME/associate contribution for all Restricted schemes under the new open/close-ended-differentiated formula.
Reg 403

Contribution by the FME in the scheme: Same "detailed under Chapter II" to "specified under these regulations" cross-reference fix as item 12, applied to Reg 40.

Practical effect
Textual cross-reference correction.
Required action
Update citation trails.
Reg 404(c)-(e)

Contribution by the FME in the scheme: Fund-of-funds exemption from mandatory contribution restated (as in item 13); two new exemption categories added — (d) the scheme is an index scheme, and (e) the scheme is a fund-of-funds investing in index schemes or passive ETFs, with inter-se allocation disclosed in the PM.
